Comments, Concerns and Amendments

 

Summary:

This bill is for the assignment, assumption, modification and subordination of two loans, a State Housing Initiative Partnership (SHIP) loan agreement and a HOME loan agreement, on the property located at 325 E. Duval Street. The two loans will be assigned and assumed by Cathedral District-Jax, Inc. These two loans were restructured by Ordinance 2008-968-E into interest free, forgivable loans at a rate of 1/15 each year as long as Community Connections continued to provide housing and services to low-income residents. Included below are the amortization schedules for the two loans starting in year 2011. Currently, these loans are in default. The City is in the first position on the SHIP loan and the third position on the HOME loan. In addition, the State is in the second position on a loan under the State Apartment Incentive Loan Program (SAIL) and Valley National Bank has initiated foreclosure on a separate portion of the property related to a loan they had with Community Connections.

 


Concerns:

1.      The City is giving up its first position as a lienholder on the property on the SHIP loan with an assessed value of over $3 million.

2.      Once the first lienholder position is given up, there are no clawback provisions for the City to gain the first position back.

3.      There are no provisions in this legislation that guarantee that the property is redeveloped.  However, in the loan documents to be provided and placed on file, the Office of General Counsel has indicated they will have provisions concerning the commencement and completion of the Development Project to address this.

4.      There are no provisions in this legislation that guarantee that the property will be sold to and redeveloped by a private entity. Therefore, there is no guarantee that this will become taxable property on the tax roll. However, even if developed by a private entity, that private entity could apply for Historical Property Tax Exemption once development is completed.

 

Amendments:

1.      Place the core loan document forms (i.e., amended and restated note, assignment and assumption, and HOME and SHIP loan agreement, covenant and restriction) on file.  Authorize Mayor to execute all other standard loan documents necessary to effectuate the transaction as form approved by the Office of General Counsel (i.e., subordination or intercreditor agreement, affidavits, assurances, etc.). 

2.      Attach SHIP and HOME loan modification terms as an Exhibit. 

a.       SHIP Loan modification terms as follows: (Effective Modification Date – November 25, 2017; New Maturity Date – November 25, 2027; 10 year term; Principal Amount - $134,279.91; Forgiveness - 1/10th percent forgivable each year (i.e., $13,427.99) on November 1st (beginning 2018); Interest - 0%; 2nd Lien position; New Development Project to commence in 2 yrs and complete in 3 yrs from commencement date; Land Use Restriction Agreement 15% of the units at 80% AMI (rent and income) for ten years and downtown development requirements).

b.      HOME Loan modification terms as follows (Effective Modification Date – November 25, 2017; New Maturity Date – November 25, 2027; 10 year term; Principal Amount - $235,200; Forgiveness - 1/10th percent forgivable each year (i.e., $23,520) on November 1st (beginning 2018); Interest - 0%; 3rd Lien position; New Development Project to commence in 2 yrs and complete in 3 yrs from commencement date; Land Use Restriction Agreement 15% of the units at 80% AMI (rent and income) for ten years and downtown development requirements).

3.      Delete the loan terms in the bill and make reference to the loan terms more particularly described on the loan terms Exhibit

4.      Modify the date in the explanation of emergency section to reflect the purchase and sale agreement expiring on or before January 31, 2018.

5.      Correct SHIP Loan principal amount in title of bill from $281,204.86 to $218,204.86.

6.      Change “original amount” to “restated amount” throughout bill to describe the loan amounts.

7.      Change term “delinquent” to “default” throughout the bill.

8.      Clarify in the bill the specific terms of the land use restrictions that would be consistent with Florida Housing Finance Corporation’s low-income set-aside requirements (15% of the units at 80% AMI (rent and income) for ten years).

9.      Pg. 2, line 17- include cents on the dollar amount

10.  Pg. 2, line 28- strike “New”
